Enterprises with foreign investment in Uzbekistan

The main law in Uzbekistan about registering a business is the country's Civil Code, which was made on August 28, 1996.

LEGAL STRUCTURES FOR BUSINESSES IN UZBEKISTAN:

  1. Simple limited liability company (with foreign funds).
  2. Limited Liability Company as a business with "foreign investment."
  3. Joint-Stock Company (JSC)
  4. Office of the Rep.

People and businesses from outside Uzbekistan can work with our law experts to register any type of business in the country.

If you don't know what kind of business to start in Uzbekistan, you could ask us to write a comparison law study that looks at the pros and cons of different kinds of companies in Uzbekistan.

You can also start a business that stays in Uzbekistan for a long time.

NAMING AN LLC IN UZBEKISTAN

After you choose a type of business in Uzbekistan, you need to pick up to five names for it.
The name of a business must be unique, and it is reserved online.

Legal organizations can't use "Republic of Uzbekistan," "Uzbekistan," or their short forms, or the names of historical people, unless they get permission from the filing authority.

MINIMUM CAPITAL THAT AN LLC CAN HAVE IN UZBEKISTAN

In Uzbekistan, the least amount of capital that an LLC can have is 40 times the minimum wage. Right now, that is 202,730 Uzbekistani sums, which is the same as 8,440 US dollars.

The main things that the company registration service in Uzbekistan does are:

  • Preparing the paperwork that the LLC needs,
  • registering the LLC with the tax officials,
  • and ordering and getting the company seal.
  • Putting information about companies into funds that aren't part of the budget
  • Opening of current accounts for businesses both in and outside of Uzbekistan.

INFORMATION NEEDED TO SET UP A LIMITED LIABILITY COMPANY IN UZBEKISTAN:

  1. The company's name, the registered address (which we can provide), and the participant's information, such as their name, citizenship, passport, or company formation papers.
  2. The amount of cash that is approved and the types of tasks
  3. The bank you pick in Uzbekistan and the types of accounts that can be started there;
  4. Choosing how to tax people in Uzbekistan
  5. Other papers and information that the ALPS & CHASE experts asked for. We need to get all of the papers ahead of time so that we have time to translate them into Uzbek or Russian.

Once it gets a stamp, every paper that gets turned in has to be approved in that person's (shareholder's) country at the Embassy of Uzbekistan or get an apostille from the right people according to the Hague Convention of 1961.

According to the Minsk Convention on Legal Assistance and Legal Relations in Civil, Family and Criminal Cases (January 23, 1993), people from the Commonwealth of Independent States, including Russia, Belarus, Uzbekistan, Tajikistan, Armenia, Ukraine, Kyrgyzstan, Moldova, Turkmenistan, Azerbaijan, and Georgia, do not need to have their documents legalized or apostilled.Legal cases may have different requirements for how to put an apostille on papers.

PRESENCE OF THE PARTICIPANTS DURING REGISTRATION OF A COMPANY:

In Uzbekistan, people who are registering a business do not have to be there in person. A power of attorney covers all registering activities.

HOW LONG IT TAKES TO REGISTER AN LLC IN UZBEKISTAN:

It is now much easier to register an LLC since several licensing steps have been removed.

On average, it takes three to five business days for an LLC in Uzbekistan to be approved after the paperwork is filed.

A Director General will only need to be there when bank accounts are opened in Uzbekistan so that they can sign papers and bank cards.

APPOINTMENT OF A DIRECTOR GENERAL IN UZBEKISAN:

A person from Uzbekistan or a foreigner can be hired as a Director General.

Here's a little odd thing: to protect its own workers, the government of the Republic of Uzbekistan set up a specific process for bringing in foreign workers. This includes getting a permit and confirmation of the right to work from the Ministry.

The heads of foreign businesses' offices aren't included in this requirement because the Ministry of Foreign Economic Relations, Investment, and Trade of Uzbekistan has their own way of doing certifications for them.

But if we follow the reasoning of the law, a stranger must have a job permit before being hired as a Director General.

Because of this, our business offers temporary leaders who can sign basic papers and talk to tax and customs agencies.

You can only use this service if your business is completely legal.
